Essential legal disclaimers governing the use of ViViD eSigner, user private key responsibilities, and zero liability protections for ViViD App Studio.
1. "AS IS" & "AS AVAILABLE" Service Provision
ViViD eSigner (provided by ViViD App Studio) and all associated software, Chrome extensions, and API endpoints are provided on an strictly "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise.
ViViD App Studio explicitly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, system integration, uninterrupted access, or error-free operation.
2. Cryptographic Private Key & Password Responsibility
ViViD eSigner operates on a zero-knowledge cryptographic model. Private signing keys generated in-browser (.p12) or managed via Apple Keychain reside exclusively under the user's local hardware and control.
- ViViD App Studio holds no master recovery keys, passphrases, or backdoors.
- ViViD App Studio shall have zero liability for lost, forgotten, or compromised certificate passphrases, lost private keys, or unauthorized access to user hardware.
- Users assume 100% responsibility for safeguarding their digital certificates and credentials.
3. Legal Admissibility & Document Content Disclaimer
ViViD eSigner is a technical provider of cryptographic signature software (ETSI PAdES / PKCS#7). ViViD App Studio is not a law firm, notary public, or legal representative, and does not provide legal advice.
- ViViD App Studio is not a party to any contract, agreement, or document signed using ViViD eSigner.
- Users and counter-parties are solely responsible for ensuring that electronic signatures satisfy local statutory requirements (e.g., US ESIGN Act, EU eIDAS, India IT Act 2000) for their specific transaction type.
- ViViD App Studio disclaims all liability for the legality, enforceability, or contents of any document uploaded or signed using the platform.
4. Maximum Limitation of Legal Liability
To the maximum extent permitted by applicable law, in no event shall ViViD App Studio, its founders, directors, employees, or partners be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, business reputation, or contract disputes) arising out of or related to your use of ViViD eSigner.
If any liability is established against ViViD App Studio by a court of competent jurisdiction, total cumulative liability shall strictly not exceed the amount paid by the user to ViViD eSigner in the preceding thirty (30) days, or ₹100 INR, whichever is lower.
